Terms of Service

(for HOAnderful SaaS Platform)

Welcome to HOAnderful! These Terms of Service ("Terms," "Agreement") constitute a legal agreement between you and RootLabs I.T. Services ("RootLabs," "we," "us," or "our") governing your access to and use of the HOAnderful platform (the "Platform," "Service," or "Application").

By creating an account, accessing, or using HOAnderful in any way, you ("User," "you," "Customer," "Subscriber") agree to be bound by these Terms. If you are using the Service on behalf of a homeowner association, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

1. Service Description and License Grant

HOAnderful is a cloud-based software platform designed to help homeowner associations manage their communities more efficiently. The Service provides tools for member management, fee tracking, payment processing, announcements, community boards, and other HOA administrative functions.

License Grant

Subject to your compliance with these Terms and payment of applicable fees, RootLabs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during your active service period. This license is strictly for your internal HOA management purposes.

Ownership and Intellectual Property

You do not acquire ownership of the Platform. All rights, title, and interest in HOAnderful, including all software, features, functionality, designs, trademarks, logos, and proprietary technology, remain exclusively with RootLabs and its licensors. You may not copy, modify, create derivative works, reverse engineer, decompile, or attempt to extract source code from the Platform.

What's Included

Your service includes web-based access to HOAnderful, regular platform updates and improvements, data storage within your agreed usage limits, technical support according to your plan level, and security updates at no additional charge.

2. Accounts and Billing

Account Creation

To use HOAnderful, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

Pricing Plans and Fees

HOAnderful may be billed through HOA-level invoices, homeowner transaction fees, setup fees, or other pricing arrangements agreed to in writing. All fees are stated in Philippine Pesos (PHP) unless otherwise specified. Prices are subject to change with 30 days' notice unless a separate written agreement states otherwise.

Payment Terms

Payment is due according to the invoice, billing period, or transaction flow presented to you on the Platform. We accept payment via credit card, debit card, or other methods we may make available. By providing payment information, you authorize us to charge the applicable fees for the selected pricing arrangement. If payment fails, we will attempt to notify you and may suspend service access until payment is received.

Refund Policy

Platform fees are generally non-refundable except where required by Philippine consumer protection law or in cases of service failure on our part. If you cancel mid-cycle, you retain access until the end of your current billing period unless a separate agreement states otherwise, but no prorated refunds are issued for partial periods. Fees paid for HOA dues or payments processed through the Platform are separate transactions and are non-refundable.

3. Acceptable Use Policy

You agree to use HOAnderful only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

  • Attempting to reverse engineer, decompile, disassemble, or otherwise derive source code from the Platform
  • Using automated tools (bots, scrapers, etc.) to access the Service without authorization
  • Uploading or transmitting viruses, malware, or other malicious code
  • Engaging in any activity that disrupts, interferes with, or damages the Platform or our servers
  • Attempting to gain unauthorized access to other users' accounts or data
  • Sharing your account credentials with unauthorized individuals
  • Using the Platform to harass, threaten, defame, or violate the rights of others
  • Impersonating any person or entity or misrepresenting your affiliation
  • Using the Service for illegal activities, fraud, or money laundering
  • Reselling, sublicensing, or redistributing access to the Platform without written permission
  • Removing, obscuring, or altering any copyright, trademark, or proprietary notices
Content Standards

You are responsible for all content you upload, post, or transmit through the Platform. Content must not violate any laws, infringe intellectual property rights, contain hate speech, pornography, or other objectionable material. We reserve the right to remove content that violates these standards.

Consequences of Violations

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, removal of content, legal action, and reporting to law enforcement authorities where appropriate. We reserve the right to investigate suspected violations and cooperate with legal authorities.

4. Service Availability and Support

Service Level Commitment

We strive to maintain HOAnderful with 99% uptime, calculated monthly. This excludes scheduled maintenance windows, which we will announce in advance when possible, and circumstances beyond our reasonable control (force majeure events, third-party service failures, network outages, etc.).

Maintenance and Updates

We regularly update HOAnderful with new features, improvements, and security patches. Most updates are deployed seamlessly without service interruption. Scheduled maintenance requiring downtime will typically occur during low-usage hours and will be communicated via email or in-app notifications.

Customer Support

Support availability and response times depend on your service plan. Standard support includes email assistance with a target response time of 48 business hours. Premium plans may include faster response times and additional support channels. Support is provided in English and Filipino during Philippine business hours (Monday-Friday, 9 AM - 6 PM PHT, excluding holidays).

Service Limitations

Your service plan may include usage limits on storage, number of homeowners, transaction volume, or other metrics. If you exceed these limits, we may require you to move to a different pricing arrangement or may apply overage charges as specified in your plan documentation.

5. Data Ownership, Privacy, and Security

Your Data Ownership

You retain all ownership rights to the data you input into HOAnderful, including homeowner information, financial records, announcements, and other content ("Customer Data"). RootLabs claims no ownership interest in your Customer Data. We process your data solely to provide the Service and as described in our Privacy Policy.

Data Access and Control

You can export your Customer Data at any time through the Platform's export features. Data formats may include CSV, Excel, or PDF depending on the data type. You are responsible for maintaining backup copies of your important data.

Data Retention After Termination

Upon cancellation or termination, you have a 30-day grace period to export your Customer Data. After this period, we will permanently delete your data from our production systems, except for:

  • Data we are required to retain by law (e.g., financial records for tax purposes, typically 7 years)
  • Anonymized aggregated data used for analytics and platform improvement
  • Data necessary to resolve disputes or enforce these Terms
Our Use of Aggregated Data

We may use anonymized, aggregated data derived from all customers' usage for analytics, product development, benchmarking, and research purposes. This aggregated data cannot be used to identify any individual user or specific HOA.

Privacy and Compliance

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Data Privacy Act of 2012 (Republic Act No. 10173) of the Philippines and implement appropriate security measures to protect your data.

6. Suspension and Termination

Your Right to Cancel

You may cancel your service at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period unless a separate agreement states otherwise. You will continue to have access until that time, but no refunds will be issued for the remaining period.

Suspension for Non-Payment

If payment fails or your account becomes past due, we may suspend access to the Platform after providing notice. Suspended accounts retain data for 30 days. If payment is not received within this period, we may terminate your account and delete your data.

Termination for Violations

We reserve the right to suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activities
  • Compromise the security or integrity of the Platform
  • Cause harm to RootLabs, other users, or third parties
Effect of Termination

Upon termination for any reason, your license to use HOAnderful immediately ends. You must cease all use of the Platform and are responsible for exporting any data you wish to retain within the applicable grace period. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) will continue to apply.

7. Warranties, Disclaimers, and Limitations of Liability

Service "As Is"

HOAnderful is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the maximum extent permitted by Philippine law, RootLabs disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee of Uninterrupted Service

We do not guarantee that the Platform will be error-free, secure, or available at all times. The Service may be interrupted due to maintenance, updates, technical issues, or circumstances beyond our control. We are not responsible for data loss, corruption, or transmission errors.

Limitation of Liability

To the fullest extent permitted by applicable law, RootLabs and its officers, directors, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, or other economic advantage
  • Service interruptions or data loss
  • Errors or inaccuracies in content
  • Unauthorized access to or alteration of your data
  • Third-party conduct or content on the Platform

In no event shall RootLabs' total liability exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless RootLabs from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

8. Modifications to the Service and Terms

Service Changes

We continuously improve HOAnderful and may add, modify, or discontinue features at any time. We will make reasonable efforts to notify you of material changes that negatively impact functionality, but we are not obligated to maintain any specific feature indefinitely.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or for other operational reasons. When we make material changes, we will:

  • Update the "Effective Date" at the top of this document
  • Send email notification to the address on your account (for significant changes)
  • Display a prominent notice within the Platform

Your continued use of HOAnderful after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Service and may cancel your subscription.

9. Governing Law and Dispute Resolution

Governing Law

These Terms and your use of HOAnderful are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.

Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the appropriate courts located in the Philippines. You consent to the personal jurisdiction of such courts and waive any objection to venue.

Dispute Resolution

Before filing any legal action, we encourage you to contact us to seek informal resolution. Many disputes can be resolved quickly through direct communication. Email us at [email protected] with a detailed description of the issue, and we will work in good faith to resolve it.

10. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and RootLabs regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of RootLabs.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. RootLabs may assign or transfer these Terms without restriction. Any attempted assignment in violation of this section is void.

Force Majeure

RootLabs shall not be liable for any failure to perform obligations due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, internet failures, or government actions.
